Terms of Service

These Terms of Service (“Terms”) govern your use of Dispatch’s services. By engaging Dispatch, you agree to these Terms.

1. Services

Dispatch provides website design, development, hosting, and related services as agreed per project or plan.

Specific scope, inclusions, and pricing are defined in written proposals or on the website at the time of engagement.

2. Engagement & Payment

Deposits

  • A 50% deposit is required to secure a project slot.
  • Work does not commence until the deposit is received.

Final Payment

  • The remaining balance is due once the website is live or ready for launch.

Monthly Plans

  • Monthly plans require a minimum 12-month commitment.
  • Payments are processed monthly via a third-party payment provider.

3. Refunds

  • Partial refunds may be issued before work commences, excluding any amount retained for reserving the project slot.
  • Once work has begun, payments are non-refundable.

4. Scope & Changes

Included Changes

“Small changes” may include:

  • Text or content edits
  • Image replacements
  • Minor layout adjustments

Small changes do not include:

  • New pages
  • New features or functionality
  • Structural redesigns
  • SEO strategy changes

Limits

Included changes are provided on a reasonable, time-based basis. Additional work is quoted separately.

5. Timelines

  • The standard delivery timeframe is 7 days from project kickoff, assuming required content and feedback are provided on time.
  • Timelines pause automatically if client input or approvals are delayed.
  • Delivery timeframes are targets, not guarantees.

6. Client Responsibilities

Clients are responsible for:

  • Providing accurate content and materials
  • Reviewing work promptly
  • Approving deliverables in a timely manner

Delays may affect delivery timelines.

7. Hosting & Access

Suspension

If a monthly payment is overdue:

  • A 14-day grace period applies
  • After this period, hosting and site access may be suspended until payment is resolved

Cancellation & Export

If hosting is cancelled, Dispatch will provide a site export upon request.

8. Early Termination (Monthly Plans)

If a client terminates a monthly plan early:

  • An early termination fee applies
  • Total payments (including termination fees) will not exceed the equivalent upfront price for the same plan
  • Fees are calculated based on time elapsed and work delivered

This ensures fairness while covering reserved capacity and completed work.

9. Intellectual Property

Upfront Projects

  • Ownership of the website transfers to the client once full payment is received.

Monthly Plans

  • Ownership transfers at the end of the 12-month term, provided all payments are made.

Dispatch retains the right to showcase completed work for portfolio purposes unless otherwise agreed.

10. Limitation of Liability

Dispatch is not responsible for:

  • Business outcomes, traffic, leads, or revenue
  • Losses caused by third-party services or platforms

Liability is limited to the total fees paid for the services giving rise to the claim.

11. Governing Law

These Terms are governed by the laws of Queensland, Australia.
